DevGlow Web Development Terms and Conditions

Between: Alexander Nova, doing business as DevGlow ("Developer", "we", "us", or "our")

And: ] Client ("Client", "you", or "your")

1. Acceptance of Terms

By paying the initial deposit or signing a project proposal, the Client agrees to be bound by these Terms and Conditions. These terms supersede any prior discussions, agreements, or understandings.

2. Scope of Work and Revisions

The specific services, including whether the project is a Single Page/Landing Page, a Full-Stack Web App, or a Custom SaaS/Enterprise build, will be strictly defined in the project invoice (the "Scope of Work").

  • Scope Creep: Any requests outside the documented Scope of Work (including additional Next.js pages, database schema changes, new animations, or UI features) will be billed at an hourly rate of $[Your Rate]/hour and require a separate written sign-off.
  • Revisions: The project includes up to [Number, e.g., Two (2)] rounds of minor revisions per milestone. Revisions requested after the final approval of a milestone will be billed additionally.

3. Payment Terms

  • Non-Refundable Deposit: A non-refundable deposit of [e.g., 50%] is required before any development, UX direction, or design work begins.
  • Milestones: Remaining balances are due upon the completion of agreed-upon milestones or prior to the deployment to production. No final code, Vercel deployments, or live site transfers will occur until the invoice is paid in full.
  • Late Payments: Invoices not paid within [e.g., 14 days] of the due date will incur a late fee of [e.g., 5%] per month on the outstanding balance. DevGlow reserves the right to pause all work or take the preview/production environments offline until payment is resolved.

4. Client Responsibilities and Delays

  • Asset Delivery: The Client must provide all necessary content, text, branding assets, and credentials required to complete the project on time.
  • Project Holds:If the Client fails to provide necessary feedback or assets for more than [e.g., 14 days], the project will be considered "on hold." A restart fee of $[Amount] may be required to resume work. If the delay extends past [e.g., 30 days], DevGlow may terminate the project, and all payments made to date will be forfeited.

5. Post-Launch Support & Maintenance

Post-launch technical support is determined by the selected service package:

  • Single Page / Landing Page: The project is considered complete upon final launch. Any subsequent updates or fixes will require a new hourly or project-based agreement.
  • Full-Stack Web App: Includes 30 days of post-launch technical support. This covers bug fixes and performance issues strictly related to the original code delivered. It does not cover new features, content updates, or issues caused by third-party service outages.
  • Custom SaaS / Enterprise: Ongoing priority lifetime maintenance, support, and technical handoff procedures will be governed by a separate, customized Service Level Agreement (SLA) signed alongside this document.

6. Third-Party Infrastructure & Liability

DevGlow utilizes modern, industry-standard infrastructure to build and deploy custom web solutions, specifically heavily relying on Next.js, React, Supabase (for database and secure authentication), and Vercel (for Edge hosting and deployment).

  • DevGlow is not responsible or liable for any server outages, data breaches, API deprecations, or pricing changes caused by Vercel, Supabase, Stripe, or any other third-party service integrated into the project.
  • The Client is entirely responsible for maintaining, securing, and paying for their own third-party software subscriptions, domains, and hosting post-launch (unless explicitly covered under a Custom Enterprise maintenance plan).

7. Intellectual Property & Portfolio Rights

  • Ownership: Upon final payment, the Client is granted full ownership and a license to use the final deployed code for its intended business purpose.
  • Portfolio Rights: DevGlow reserves the perpetual right to display the completed website, interfaces, UX designs, and descriptions of the technical stack in our portfolio, marketing materials, and case studies.

8. Warranties and Limitation of Liability

  • "As-Is" Delivery:The website is provided "as is." DevGlow does not guarantee that the website will remain completely error-free indefinitely, especially in the event of major browser updates or third-party API changes.
  • Liability Cap:To the maximum extent permitted by law, DevGlow’s total liability for any claims, damages, or losses arising from this project shall not exceed the total amount paid by the Client to DevGlow for the specific project in dispute.

9. Termination

  • By Developer: DevGlow may terminate this agreement at any time if the Client becomes abusive, fails to communicate, or breaches these terms. The Client will be billed for all work completed up to the point of termination.
  • By Client: If the Client cancels the project before completion, the initial deposit is forfeited, and the Client must pay for any billable hours exceeding the deposit amount.
